Terms of Service
H Empsall Automotive · United Kingdom1. Scope
These terms apply to website enquiries, sourcing requests, seller submissions, Private Buyer Network applications, research, private introductions and related administration provided by Harry Empsall trading as H Empsall Automotive.
2. Independent service
Unless expressly agreed in writing, H Empsall Automotive acts as an independent sourcing and introduction service. It does not own vehicles described, act as the vehicle seller, hold purchase funds, provide finance, guarantee provenance or condition, or replace independent mechanical, structural, legal, tax, title, registration, shipping or valuation advice.
3. Buyer Network registration
Registration is an application, not membership approval, an agency appointment or an obligation to purchase. Information must be accurate and kept current. H Empsall Automotive may request verification, proof of authority, a letter of intent, redacted proof of funds or further information before releasing confidential vehicle material. No applicant is entitled to every opportunity.
4. Confidential opportunities
Vehicle identity, VIN information, location, photographs, price and seller identity may be disclosed in stages. Recipients must keep private information confidential, use it only to assess the stated opportunity and must not circulate it without permission. Access may be withdrawn at any time.
5. Introductions, mandates and fees
Any buyer-side or seller-side mandate, fee, commission, retainer, success fee, non-circumvention obligation and payment trigger must be set out in a separate written agreement. Website registration alone does not create a fee obligation. Each party must disclose its role and any intermediary chain honestly.
6. Vehicle information, research and due diligence
Desktop research and written findings are based on reasonably available sources and information supplied at the time. Listings, descriptions, ownership claims, provenance, mileage, title, tax status, specification, auction data and costs may come from third parties and remain subject to verification. Research is not a guarantee of authenticity, condition, title, value or future market performance. Buyers remain responsible for independent inspection, provenance and title checks, legal and tax advice, and satisfaction with all transaction documents before committing funds.
7. Deposits and payments
No deposit should be paid merely because a website match has been shown. Deposit arrangements must follow verification and written transaction instructions. Card payments for H Empsall Automotive invoices may be processed by Stripe; vehicle-purchase funds should be handled only under separately verified transaction arrangements.
8. Acceptable use
Users must not submit false mandates, impersonate principals, upload malicious or unlawful files, provide card details through general forms, scrape confidential material, bypass access controls or use information to circumvent an agreed introduction.
9. Liability
Nothing excludes liability that cannot lawfully be excluded. Subject to that, H Empsall Automotive is not responsible for a third party’s vehicle, conduct, insolvency, inaccurate statement or failure to complete, or for indirect loss arising from reliance on unverified vehicle information. Any specific service liability terms may be stated in a separate written engagement.
10. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, except where mandatory consumer law provides otherwise.
